These Terms & Conditions (hereinafter "Terms") govern the use of the Componi platform (hereinafter the "Service"), provided by {{COMPANY_LEGAL_NAME}}, registered office {{COMPANY_ADDRESS}}, VAT {{VAT_NUMBER}}. By registering an account or using the Service, the user declares to have read, understood, and accepted these Terms.
1. Description of the Service
Componi is a software-as-a-service (SaaS) platform providing LinkedIn content generation, planning, and publishing tools powered by artificial intelligence. It includes the Voice Profile, Content Studio, News Engine, Weekly PED, Autopilot, Engagement Inbox, and Analytics modules. An up-to-date list of features is available at www.componi.ai/funzionalita.html.
2. Eligibility
The Service is intended for natural persons aged at least 18 and legal entities represented by authorized individuals. The user undertakes to provide accurate, complete, and up-to-date information during registration and to keep it so throughout the contractual relationship.
3. Account and credentials
The user is responsible for safeguarding access credentials and for any activity carried out via their account. They must promptly notify hello@componi.ai of any unauthorized or suspicious use. Creating fake accounts, sharing credentials with third parties, or transferring the account to persons other than the registered one is not permitted.
4. LinkedIn integration and acceptable use
Integration with LinkedIn occurs exclusively through official APIs and OAuth mechanisms authorized by LinkedIn Corporation. The user agrees to:
• Use the Service in compliance with LinkedIn's Terms of Service and User Agreement; • Not create, manage, or promote fake or misleading LinkedIn profiles; • Not mass-automate interactions (mass-liking, mass-commenting) outside LinkedIn policies; • Not use the Service for spam, phishing, dissemination of illegal, defamatory, obscene, discriminatory content or content infringing third-party rights; • Not attempt to circumvent technical platform protections, reverse-engineer, or gain unauthorized access.
In case of violation, Componi reserves the right to suspend or terminate the Service.
5. Subscriptions, pricing, and billing
The Service is offered under the following plans:
• Free Beta: free access for 90 days from first registration, without obligation to subsequent subscription. • Pro Standard: €12/month, VAT included where applicable. • Pro Ambassador: €9.99/month for users participating in the Member-Get-Member referral program, subject to eligibility verification at renewal. • Founding Member: €4.99/month for life, limited to the first 200 eligible users, under conditions communicated at enrollment.
Payment is made via credit card or other methods supported by Stripe. Prices may be updated with at least 30 days' email notice; the update applies from the next billing cycle. The user may cancel the subscription anytime from account settings; cancellation becomes effective at the end of the paid cycle.
6. Beta phase conditions
During the Beta period (90 free days), the Service is provided as-is. Feature limitations, temporary interruptions, and frequent updates may occur. Data generated during the Beta is preserved and made available in any subsequent paid subscription. Failing subscription within 30 days of Beta expiration, the account content is deleted as described in the Privacy Policy.
7. Intellectual property
User content: the user retains full ownership of content created through the Service (drafts, posts, comments). They grant Componi a non-exclusive, limited, and revocable license, strictly necessary for providing the Service (storage, processing, publishing on LinkedIn at the user's request).
Platform and technology: the software, Componi trademark, interface, Voice Profile models, algorithms, documentation, and related materials are the exclusive property of {{COMPANY_LEGAL_NAME}} or its licensors. No rights are granted other than the right to use the Service in accordance with these Terms.
8. AI usage and content warranties
The Service uses artificial intelligence models to generate content drafts. The user is solely responsible for the published content. Componi does not warrant absolute originality, factual accuracy, or legal compliance of AI-generated content. Before publication, the user must verify content for factual errors, unintentional plagiarism, third-party copyright or privacy violations. Componi does not pre-moderate content that the user publishes on LinkedIn.
9. Data and privacy
Personal data processing is governed by the Privacy Policy available at www.componi.ai/privacy.html, which forms an integral part of these Terms.
10. Service levels and availability
Componi undertakes to maintain Service uptime of at least 99.5% on a monthly basis, excluding scheduled maintenance periods notified at least 48 hours in advance. Interruptions due to force majeure, third-party supplier outages (AWS, Stripe, LinkedIn, AI providers), or cyberattack mitigation actions are not considered downtime.
11. Limitations of liability
To the maximum extent permitted by applicable law, Componi is not liable for:
• Indirect, incidental, consequential damages, loss of profits, loss of business opportunities or data, arising from use or inability to use the Service; • Actions independently taken by LinkedIn on the user's account (suspension, restriction, ban) following the user's own conduct; • Performance of published content (engagement, reach, conversions): the Service provides creation and planning tools, it does not guarantee business outcomes.
Componi's total liability to the user, for any cause, is limited to the amount actually paid by the user in the 12 months preceding the event. Limitations do not apply in cases of willful misconduct or gross negligence or where the law does not allow.
12. Suspension and termination
Componi may suspend or terminate access to the Service in case of material breach of these Terms, failure to pay, unlawful use or use infringing third-party rights, or risks to platform or other users' security. For causes not attributable to the user, Componi will provide reasonable notice. The user may withdraw at any time by deleting the account.
13. Changes to the Terms
Componi may modify these Terms to reflect Service, regulatory, or business evolution. Substantial changes are communicated via email and/or in-app notification at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the changes. A user who does not wish to accept may withdraw without charge.
14. Governing law and jurisdiction
These Terms are governed by Italian law. For disputes with consumer users, the court of the consumer's residence or domicile has jurisdiction, provided it is located in Italy. For disputes with business users, the Court of Milan has exclusive jurisdiction. The consumer's right to use the European Commission ODR platform (https://ec.europa.eu/consumers/odr) is preserved.
15. General provisions
If any clause of these Terms is invalid, the remaining clauses remain valid and effective. Failure to enforce a clause does not constitute a waiver of the right to enforce it in the future. The user may not assign the contract without Componi's written consent; Componi may assign the contract in the context of ordinary corporate transactions with notice to the user.
